Q: How are partnership disputes different from other types of business litigation?

Partnership disputes fall on the complex and very adversarial end of the business litigation spectrum.  Understandably, a breach of trust exists between individuals who invested together and built the business together.  When that trust is breached, it becomes a fight to protect the company and the rights of a partner who is facing (1) shareholder / Member oppression; (2) the managing group of individual partner engaging in fraudulent actions including undisclosed self-dealing; or (3) is involved in illegal conduct with the Internal Revenue Service (improper or false reporting), the state comptroller’s office, and the like.  Each of these situations subjects the minority member/shareholder or group to outside liability, in addition to depriving them of profits.
